SECUDRIVE USB COPY SOFTWARE LICENSE AGREEMENT

Thank you for your purchase of SECUDRIVE USB COPY.

This Software License Terms define the legal conditions on the SECUDRIVE USB COPY product(hereinafter referred to as "Software product or Product) between Brainzsquare Co.,Ltd.(hereinafter referred to as "Brainzsquare) and you(customer).

SECUDRIVE USB COPY is defined as the product which includes programs contained in the PC where the product is installed, other programs recorded in media and other software and documents altogether. SECUDRIVE USB COPY is the proprietary product of Brainzsquare and it is protected by copyright, trade secret and other intellectual property laws. You acquire only the right to use the product.

BY INSTALLING THE PRODUCT YOU ACCEPT ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT AND AGREE THAT YOU WILL BE LEGALLY BOUND BY THEM. IF THESE TERMS AND CONDITIONS ARE NOT ACCEPTABLE TO YOU, DO NOT CONTINUE TO INSTALL THIS SOFTWARE.

1. LICENSE FOR FREE VERSION
FREE VERSION is defined as the product for which Customer did not pay to Brainzsquare or a distributor authorized by Brainzsquare. FREE VERSION is only available for individual users. FREE VERSION should not be used in enterprises/profit (nonprofit) corporations/public agencies/educational institutions/internet cafes.

2. LICENSE FOR PAID-FOR VERSION
PAID-FOR VERSION is defined as the product for which Customer did pay to Brainzsquare or a distributor authorized by Brainzsquare. Customer may install and use the product on Customer's computer with the designated number of licenses. To use the product, authentication by an online license key is a must. Customer will not execute this product concurrently on multiple PCs which exceed the number of licenses. Customer may not copy, install or use parts of the product on multiple PCs which exceed the number of licenses. If Customer has a separate license which was authorized by Brainzsquare(i.e. license agreement), the license is regarded as valid.

3. ONLINE LICENSE KEY AUTHORIZATION
Online license key authorization is defined as confirming the connection between a designated license key and the hardware, where the product has been installed, by the internet. Once the license key authentication was executed, the license key cannot be used on another PC. Also, the license key cannot be re-registered in the same computer when hardware configuration is modified.

4. RESTRICTIONS
Customer may not use the product against this license agreement. Customer will not reverse engineer, disassemble, decompile or modify the whole product or some parts of it to create a secondary product. Customer will not upload or transfer the product over the network. The product and digital data installed together with it is designed and provided to Customer as a single product to be used as a single product on computers. According to copyright regulations, Customer may not copy, distribute and modify the product.

5. LIMITATION OF LIABILITY
BRAINZSQUARE SHALL NOT BE LIABLE FOR ANY ACCOMPANYING, SPECIFIC OR INDIRECT DAMAGES CAUSED BY THE PRODUCT EXCEPT DESCRIBED IN THIS AGREEMENT.
BRAINZSQUARE SHALL NOT BE LIABLE FOR ANY DAMAGES CAUSED BY THE PRODUCT INCLUDING BUT NOT LIMITED TO INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR DAMAGES BY THE HARDWARE DEFECT OR BY YOUR NEGLIGENCE, OR DAMAGES FOR LOSS OF PROFITS, LOSS OF SAVINGS, REVENUE, DATA, INCURRED BY YOU OR ANY THIRD PARTY, EVEN IF BRAINZSQUARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. JURISDICTION AND DISPUTES
This Agreement shall be governed by the laws of the Republic of KOREA. Seoul Central District Court has exclusive jurisdiction over all disputes, controversies or disagreements which may arise between the parties in relation to this Agreement.
